Terms of Service

Effective date: 1 June 2025

1. Acceptance of terms

By accessing or using the Obiter platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a law firm or other legal entity, you represent that you have the authority to bind that entity. These Terms govern your use of the Service provided by Obiter (proposed entity: Obiter Technologies Ltd — [company registration pending]).

2. Description of service

Obiter is an AI-powered legal administration platform designed for use by regulated UK law firms. The Service includes AI email processing, automated time recording, AML compliance workflows, LAA claim preparation, matter management, and related features as described on our website.

Important: Obiter is an administrative tool. It does not provide legal advice, and outputs generated by the AI must be reviewed by a qualified solicitor before use. You remain responsible for all legal work product sent to clients or submitted to courts and regulatory bodies.

3. Eligibility and registration

The Service is available to UK-regulated legal practices. By registering, you confirm that your firm holds a current SRA authorisation (or equivalent for licensed bodies) and that you will use the Service in compliance with all applicable professional and regulatory obligations.

4. Subscription and payment

Subscriptions are billed monthly or annually in advance. All prices are exclusive of VAT. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of access. Refunds are not provided for partial periods except where required by law.

5. Acceptable use

You must not use the Service to:

  • Process data unlawfully or in breach of professional obligations
  • Engage in any form of data scraping, reverse engineering, or unauthorised API access
  • Circumvent SRA, ICO, or other regulatory requirements
  • Share access credentials with unauthorised parties

6. Data and confidentiality

You retain ownership of all client data you upload to the Service. You grant Obiter a limited licence to process that data solely to provide the Service. We will not use your client data to train AI models, share it with third parties (other than sub-processors), or access it without your explicit permission.

7. Intellectual property

The Obiter platform, brand, and all associated software are the intellectual property of Obiter. Your subscription grants you a non-exclusive, non-transferable licence to use the Service. You may not copy, modify, or redistribute any part of the platform.

8. Limitation of liability

To the extent permitted by law, our liability is limited to the subscription fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or speculative loss. Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.

9. Termination

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms. On termination, you have 30 days to export your data before deletion.

10. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
